Welcome to Oridil ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website oridil.com (the "Site") and the professional services we provide, including but not limited to Web Development, AI & Tech Solutions, Mobile App Development, Software Development, Branding & Digital Marketing, Cyber Security & Consulting, and the Oridil POS system (collectively, the "Services").

By accessing our Site or engaging our Services, you ("Client," "you," "your") agree to be bound by these Terms. If you do not agree with any part of these terms, you must not use our Site or Services.


1. Scope of Services & Agreements

All Services provided by Oridil are subject to a separate, written Master Services Agreement (MSA) or Statement of Work (SOW). These Terms supplement any such agreement. In the event of a conflict between these Terms and a specific MSA/SOW, the terms of the MSA/SOW shall prevail.


2. Intellectual Property Rights

We retain all intellectual property rights to the pre-existing materials, code, methodologies, and tools used to provide the Services ("Oridil IP"). This includes all rights to our proprietary software, such as the Oridil POS system.

Upon full payment, the Client is granted a perpetual, non-exclusive, royalty-free license to use the final, deliverable product (e.g., website code, mobile application) for their internal business purposes. We reserve the right to display and link to your completed project as part of our portfolio.


3. Client Responsibilities

You agree to provide all necessary information, materials (e.g., content, logos), and timely feedback required for the project. You represent and warrant that you own or have the legal right to use all materials provided to us.

You agree not to use the Site or Services for any unlawful purpose or in any way that could damage, disable, or impair the Service or our servers.


4. Service-Specific Disclaimers

4.1. AI & Tech Solutions

Our AI solutions are designed to provide insights and automation. However, AI models are probabilistic and may produce outputs that are inaccurate or incomplete. You agree that Oridil is not liable for any decisions made or actions taken based on the outputs of an AI model. You are solely responsible for validating the accuracy and appropriateness of AI-generated content.

4.2. Cyber Security & Consulting

Our cybersecurity services (including audits and penetration testing) are based on the tools and methodologies available at the time of service. While we adhere to the highest industry standards, we do not and cannot guarantee 100% security or that we will find all possible vulnerabilities. The cybersecurity landscape is constantly evolving. Our liability is expressly limited to the terms outlined in the specific SOW for the engagement.


5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIDIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL ORIDIL'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO ORIDIL FOR THE SPECIFIC SERVICE IN QUESTION DURING THE SIX (6) MONTHS PRIOR TO THE CLAIM.


6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of the engagement. This "Confidential Information" includes all non-public business information, project details, and technical data. This obligation will survive the termination of our engagement.


7. Governing Law & Jurisdiction

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of [Your Governing Jurisdiction, e.g., the Democratic Socialist Republic of Sri Lanka], without regard to its conflict of law provisions.

You agree to submit to the exclusive jurisdiction of the courts located in [Your City, e.g., Colombo, Sri Lanka] to resolve any legal matter arising from the Terms.


8. Amendments to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
